Overview

Our Corporate Governance structure is composed of a Board of Directors and an Executive Board assisted by standing Committees focusing on specific matters, such as related party transactions, auditing, and risk management.

The Board of Directors establishes the company‘s strategy and guides the executive directors. It is composed of a rich combination of competencies among the company‘s founders, its shareholders and independent members.

The company’s bylaws establishes the presence of two independent members on the Board, forming a majority in the Related Party Transactions Committee, dedicated exclusively to evaluate and recommend transactions with related parties including those between the group companies, in a transparent way and according to regulation. The Related Party Transactions Committee seeks to ensure the independence between the group’s companies and to ensure that the goals of each of the companies and their respective shareholders are achieved without interference.
